Terms of Use

1. Introduction
These Terms of Use ("Terms") govern your access to and use of Daylee, an AI-powered Slack bot operated by Oleg Malkov, doing business as Daylee.work ("we", "us", or "our"). Daylee provides automated standup facilitation, AI-generated team reports, and related collaboration features within Slack workspaces.
By installing Daylee in your Slack workspace, accessing our website, or using any part of the Service, you agree to be bound by these Terms. If you are using Daylee on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Definitions
- "Service" refers to the Daylee Slack bot, the website at https://daylee.work, and all related features and functionality.
- "Workspace Administrator" refers to any Slack workspace member with admin or owner permissions who installs or manages Daylee.
- "User" or "you" refers to any individual who interacts with Daylee, whether as a Workspace Administrator or as a team member participating in standups.
- "Content" refers to any text, data, or information submitted to the Service, including standup updates, skip reasons, team configuration, and project context.
3. Account and Installation
3.1 Slack Workspace
Daylee operates within Slack and requires a valid Slack workspace. You must comply with Slack's Terms of Service in addition to these Terms. We are not responsible for Slack's availability, performance, or policies.
3.2 Authorization
By installing Daylee, the Workspace Administrator authorizes Daylee to access workspace data through the Slack API using the OAuth permissions granted during installation. These permissions are described in our Privacy Policy.
3.3 Workspace Administrator Responsibilities
The Workspace Administrator is responsible for:
- Ensuring that team members are informed that Daylee collects standup updates and processes them using AI
- Managing team configuration, schedules, and membership
- Deciding which channels Daylee posts reports to
- Managing the workspace's subscription and billing
4. Service Plans and Features
4.1 Plans
Daylee is available in the following tiers:

4.2 Free Plan
The Free plan is available at no cost and is subject to the limits described above. We reserve the right to modify Free plan limits with reasonable notice.
4.3 Trials
New workspaces may receive a trial period with access to Pro plan features. At the end of the trial, the workspace reverts to the Free plan unless a paid subscription is activated.
4.4 Changes to Plans
We may modify plan features and limits at any time. For paid plans, material changes will be communicated to Workspace Administrators with reasonable advance notice. If you do not agree to the changes, you may cancel your subscription before the changes take effect.
5. Billing and Payment
5.1 Payment Processing
All payments are processed by Paddle, our merchant of record. By subscribing to a paid plan, you agree to Paddle's Terms of Use. Paddle handles all payment card processing — we never receive or store your payment card details.
5.2 Pricing Model
Paid plans are billed on a per-seat, per-billing-period basis. A "seat" is a unique active team member across all teams in your workspace. Seat counts are automatically synced and billing is adjusted on a prorated basis when members are added or removed.
5.3 Billing Email
A billing email address is required for paid subscriptions. Invoices and payment-related communications are sent to this address.
5.4 Past-Due Payments
If a payment fails, your subscription enters a past-due state. You will retain access to paid features during a grace period. If payment is not resolved within the grace period, your workspace will revert to the Free plan.
5.5 Cancellation
You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of a grace period, after which your workspace reverts to the Free plan. Data exceeding Free plan retention limits may become inaccessible after the grace period ends.
5.6 Refunds
Refund requests are handled in accordance with our Refund Policy. Contact us at billing@daylee.work for billing disputes.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Submit content that is unlawful, harassing, defamatory, obscene, or otherwise objectionable
- Attempt to gain unauthorized access to the Service, other users' data, or our infrastructure
- Interfere with or disrupt the Service, servers, or networks
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service to develop a competing product
- Circumvent or attempt to circumvent plan limits, usage restrictions, or billing mechanisms
- Use automated scripts or bots to interact with Daylee beyond its intended Slack interface
- Submit content designed to manipulate or exploit the AI summarization features (prompt injection)
We reserve the right to suspend or terminate access for violations of these Terms.
7. Content and Intellectual Property
7.1 Your Content
You retain ownership of all Content you submit to the Service. By submitting Content, you grant us a limited, non-exclusive license to process, store, and transmit that Content solely for the purpose of providing and improving the Service.
7.2 AI-Generated Content
Reports and summaries generated by the AI are derived from your Content. You may use AI-generated reports for your internal business purposes. AI-generated summaries are provided "as-is" and should not be relied upon as the sole record of team activity.
7.3 Our Intellectual Property
The Service, including its design, features, code, and documentation, is owned by Daylee.work and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.
7.4 Feedback
If you provide feedback or suggestions about the Service, we may use them without obligation or compensation to you.
8. AI-Powered Features
8.1 AI Processing
Daylee uses AI (currently powered by AWS Bedrock with the Claude model) to classify messages and generate standup summaries. Details on what data is sent for AI processing are described in our Privacy Policy.
8.2 Accuracy
AI-generated summaries are automated and may contain inaccuracies, omissions, or misinterpretations. They are intended as a convenience and do not replace direct communication. We do not guarantee the accuracy, completeness, or reliability of AI-generated content.
8.3 No Training on Your Data
Content sent to AWS Bedrock for processing is not used to train foundation models. See our Privacy Policy for details.
9. Privacy
Your use of the Service is subject to our Privacy Policy, which describes what data we collect, how we use it, and how it is protected. The Privacy Policy is incorporated into these Terms by reference.
10. Availability and Support
10.1 Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service depends on third-party infrastructure including Slack, AWS, and our hosting providers. We are not liable for downtime caused by these third parties.
10.2 Maintenance
We may perform scheduled or unscheduled maintenance that temporarily affects the Service. We will make reasonable efforts to provide advance notice for planned maintenance.

Support is available via support@daylee.work. Response times and support scope may vary by plan.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DAYLEE.WORK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify, defend, and hold harmless Daylee.work and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service
- Content you submit through the Service
- Your violation of these Terms
- Your violation of any third-party rights
14. Termination
14.1 By You
You may stop using the Service at any time by uninstalling Daylee from your Slack workspace. For paid plans, see Section 5.5 regarding cancellation.
14.2 By Us
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to violations of these Terms, non-payment, or abuse of the Service.
14.3 Effect of Termination
Upon termination, your right to use the Service ceases. We may delete your data in accordance with our Privacy Policy. Sections that by their nature should survive termination (including Sections 7, 11, 12, 13, and 16) will survive.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify Workspace Administrators through a Daylee message or by posting a notice on our website. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
If you do not agree to the updated Terms, you must stop using the Service.
16. General Provisions
16.1 Governing Law
These Terms are governed by the laws of Armenia Republic, without regard to its conflict of law principles.
16.2 Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved through the courts of Armenia Republic.
16.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16.4 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Daylee.work regarding the Service.
16.5 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
16.6 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
